ShiftworkInc and/or its related, affiliated, or subsidiary entities (“ShiftworkInc”, “we”, “us”, or “our”) owns and/or operates the website located at shiftworkinc.com (the “www.shiftworkinc.com”). These Terms apply to your access to and use of the Site and any features, applications, materials, workshops, courses, programs, or services accessible through or in connection with the Site (collectively, the “Services”).
Certain Services, some of which may be provided by third parties, may be subject to additional terms and conditions (“Additional Terms”) that are set out in these Terms, on the Site, or in connection with your use of those Services. By using the Site or Services, you agree to be bound by all applicable Additional Terms.
PLEASE READ THESE TERMS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS, REMEDIES, AND OBLIGATIONS. BY ACCESSING OR USING THE SITE OR THE SERVICES, YOU ARE ENTERING INTO A LEGAL AGREEMENT WITH SHIFTWORKINC. BY ACCESSING OR USING THE SITE OR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND ANY APPLICABLE ADDITIONAL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SITE OR SERVICES.
If you are accepting these Terms on behalf of an organization, company, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
1. Modification of Terms
ShiftworkInc reserves the right to change or modify these Terms at any time, in our sole discretion. If we make changes, we will post the updated Terms on the Site and revise the “last updated” date at the top of this page. We may also notify you of material changes by email using the address associated with your account.
Unless otherwise stated, changes will take effect immediately upon posting. Your continued use of the Site or Services after any changes are posted constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically. If you do not agree to the revised Terms, you must stop using the Site and Services.
Because our Services may evolve over time, we may change, suspend, or discontinue all or any part of the Services at any time, with or without notice.
2. Eligibility
The Services are not intended for children under the age of 13. You may use the Services only if you are at least the age of majority in your province or territory of residence, or if you are between the ages of 14 and the age of majority and are using the Services with the knowledge, supervision, and consent of a parent or legal guardian.
By using the Services, you represent and warrant that:
you meet the eligibility requirements set out in these Terms;
you are legally capable of entering into a binding agreement; and
you are not prohibited from using the Services under applicable law.
Users may not submit personal information about children through the Site. If we become aware that we have collected personal information from a child under 13 without appropriate consent, we may delete that information and suspend or terminate the related account.
Certain courses, workshops, or programs may have additional eligibility requirements, which will be identified on the applicable registration page.
3. Registration and Your Information
To access certain Services, register for courses or workshops, or use certain Site features, you may be required to create an account (“Account”) directly with ShiftworkInc or through a third-party service provider such as a payment processor or learning platform.
If third-party platforms are used to process registrations, deliver courses, host learning materials, or facilitate payment, your use of those services may also be subject to the terms, conditions, and privacy policies of those third parties.
You agree to provide accurate, current, and complete information and to update it as necessary so that it remains accurate and complete. If you fail to do so, we may suspend or terminate your Account.
You are responsible for maintaining the confidentiality of your password and account credentials, and for all activities that occur under your Account, whether or not authorized by you. You agree to notify us immediately of any unauthorized access to or use of your Account.
Our collection, use, and disclosure of personal information is governed by our Privacy Policy and applicable Canadian privacy laws.
4. Payment Terms and Refund/Deferral Policy
Certain Services are offered for a fee. By registering for a paid Service, you agree to pay all applicable fees, taxes, and charges associated with your purchase.
Unless otherwise stated on the Site:
fees are payable in advance;
fees are processed through third-party payment providers;
prices are listed in Canadian dollars (CAD) unless otherwise indicated; and
all fees are non-refundable and non-transferable, except where required by applicable law or expressly stated in a specific program policy.
If ShiftworkInc offers a deferral, transfer, or credit option for a particular Service, the terms of that option will be described on the Site or communicated in writing.

5. Honour Code
By registering for or participating in any course, workshop, or program, you agree to:
submit your own original work unless collaboration is expressly permitted;
appropriately acknowledge external sources used in your work;
refrain from dishonest, fraudulent, or misleading conduct that may improperly improve your results or disadvantage others;
accurately represent your participation and work if you share it outside the Services;
engage respectfully with facilitators, staff, and other participants; and
not access or attempt to access another user’s account, impersonate another person, or misrepresent your identity.
This Honour Code does not prohibit discussion of course materials or collaborative dialogue where such participation is encouraged. However, where individual work is required, submissions must reflect your own effort.
We may suspend or terminate your access to the Services if you violate this Honour Code.
6. Grant and Restrictions on Use
Subject to your compliance with these Terms, ShiftworkInc grants you a limited, non-exclusive, revocable, non-transferable licence to access and use the Site and Services for their intended personal or internal organizational learning purposes.
Unless expressly authorized in writing by ShiftworkInc, you may not:
copy, reproduce, republish, upload, post, transmit, distribute, or publicly display Site content or materials;
modify, adapt, translate, or create derivative works based on the Services or Materials;
sell, sublicense, rent, lease, or commercially exploit any part of the Site, Services, or Materials; or
use the Materials in a way that infringes our intellectual property rights or those of others.
All content, resources, text, graphics, videos, course materials, frameworks, tools, and other materials made available through the Site or Services (“Materials”) remain the property of ShiftworkInc and/or its licensors. Nothing in these Terms transfers any ownership rights to you.
While we aim to keep the Site available and functioning properly, we do not guarantee uninterrupted access or compatibility with all devices, browsers, or operating systems.
7. Acceptable Use Policy
You are responsible for your conduct when using the Site and Services. You agree not to post, transmit, upload, or otherwise make available any content or material that:
is unlawful, defamatory, abusive, harassing, threatening, hateful, discriminatory, obscene, or otherwise objectionable;
infringes the rights of any third party, including copyright, trademark, privacy, publicity, or other proprietary rights;
contains malicious code, viruses, spyware, or other harmful software;
interferes with or disrupts the Site, Services, or other users’ use of them;
constitutes spam, unauthorized advertising, or solicitation; or
violates any applicable law, regulation, or court order.
You must not use the Site to disclose sensitive personal information about yourself or others unless specifically requested and clearly necessary for the Service being provided. This includes information relating to health, financial accounts, government-issued identification numbers, political views, religious beliefs, racial or ethnic origin, sex life, union membership, or criminal history.
ShiftworkInc may remove content or restrict access where we reasonably believe a user has violated these Terms or created risk for other users, the Site, or the organization.
8. Submitted Content
The Site or Services may allow you to submit, upload, post, or share content, including comments, assignments, discussion posts, images, documents, or other materials (“Submitted Content”).
You remain the owner of your Submitted Content. However, by submitting content through the Services, you grant ShiftworkInc a non-exclusive, worldwide, royalty-free, sublicensable licence to use, reproduce, store, adapt, publish, display, and distribute that Submitted Content for the purpose of operating, delivering, improving, and promoting the Services.
You understand that:
participation in discussions and shared learning spaces may make your Submitted Content visible to other users;
some Submitted Content may remain available even after deletion requests, including where copies have been archived, quoted, or incorporated into course activity; and
we are not responsible for how other users may use content you voluntarily share in public or semi-public areas of the Services.
You represent and warrant that:
you own or have the necessary rights, permissions, and consents to submit the content;
your Submitted Content does not infringe the rights of any third party;
your Submitted Content complies with these Terms and applicable law; and
where your content includes identifiable individuals, you have obtained any necessary permissions or consents.
ShiftworkInc reserves the right, but not the obligation, to review, remove, edit, or restrict access to Submitted Content that we determine violates these Terms or is otherwise inappropriate.
You are solely responsible for your Submitted Content and agree to indemnify and hold harmless ShiftworkInc from any claims, losses, damages, or expenses arising from your Submitted Content or your breach of these Terms.
9. Copyright Infringement Notification Procedures
ShiftworkInc respects the intellectual property rights of others and expects users to do the same. If you believe that material available on the Site or through the Services infringes your copyright, please send us a written notice containing:
your name and contact information;
identification of the copyrighted work claimed to have been infringed;
identification of the allegedly infringing material and its location on the Site;
a statement explaining your good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
a statement that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

If appropriate, we may remove or disable access to the material in question while we review the matter. We may also suspend or terminate accounts of repeat infringers where justified.
If you believe content you submitted was removed in error, you may contact us in writing with details supporting your position. ShiftworkInc may review the matter and decide, in its sole discretion and in accordance with applicable law, whether to restore the content.

10. Third-Party Sites, Services and/or Resources
The Site or Services may contain links to third-party websites, platforms, tools, or resources. These are provided for convenience only. ShiftworkInc does not control and is not responsible for the content, policies, products, or services of third parties.
Your use of third-party websites or services is at your own risk and subject to the terms and privacy policies of those third parties.
11. Termination
ShiftworkInc may suspend, restrict, or terminate your access to the Site or Services at any time, with or without notice, if we believe you have violated these Terms, created risk for other users, or misused the Services.

Upon termination, your right to use the Services will cease immediately. Any provisions of these Terms that by their nature should survive termination will continue to apply, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnity, and governing law.
12. Disclaimer

To the fullest extent permitted by applicable law, ShiftworkInc disclaims all representations, warranties, conditions, and guarantees, whether express, implied, statutory, or collateral, including any implied warranties or conditions of merchantability, fitness for a particular purpose, title, accuracy, availability, or non-infringement.
We do not guarantee that:
the Site or Services will be uninterrupted, secure, or error-free;
the Materials will be accurate, complete, or current;
any particular learning, business, or organizational outcome will result from participation in the Services; or
communications with other users will be safe, appropriate, or productive.
You are solely responsible for your interactions with other users and for how you apply any information, tools, or guidance obtained through the Services.
13. Limitation of Liability
To the fullest extent permitted by applicable law, ShiftworkInc and its directors, officers, employees, contractors, agents, licensors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings, arising out of or related to your use of or inability to use the Site, Services, or Materials.
If you are using the Services on behalf of an organization, that organization is responsible for the actions of its employees, contractors, and agents who access the Site or Services through its purchase, registration, or invitation.
To the fullest extent permitted by law, ShiftworkInc’s total aggregate liability arising out of or relating to these Terms or the Services will not exceed the total amount you paid to ShiftworkInc for the specific Service giving rise to the claim in the 12 months preceding the event giving rise to the liability.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, willful misconduct, or unlawful death or personal injury.
14. Governing Law and Jurisdiction

Any failure by ShiftworkInc to enforce a provision of these Terms will not constitute a waiver of that provision or any other right.
